These Terms and Conditions apply to your use of perthflagco.com.au (the Website) and to purchases, custom orders and quote requests made with Perth Flag Co.
In these Terms, Perth Flag Co, we, us and our mean [insert legal business or company name] ABN [insert ABN], trading as Perth Flag Co. You and your mean the person or organisation using the Website, requesting a quote or placing an order.
By using the Website, submitting a quote request or placing an order, you agree to these Terms. Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.
1. Website use
You may use the Website for lawful personal or business purposes, including browsing products, requesting quotes and placing orders.
You must not:

use the Website unlawfully, fraudulently or in a way that interferes with its security or operation;

attempt to gain unauthorised access to the Website, customer accounts or connected systems;

introduce malware, harmful code or automated tools that place an unreasonable load on the Website;

copy, scrape, reproduce or commercially exploit Website content without our written permission; or
-
upload content that is unlawful, defamatory, misleading, infringing, harmful or otherwise inappropriate.
We may suspend or restrict access where reasonably necessary to protect the Website, our customers or our rights.
2. Product information
We take reasonable care to ensure product descriptions, specifications, images, dimensions, availability and prices are accurate. Images are provided as a guide. Colours and appearance may vary between screens, printed materials, production batches and lighting conditions.
For custom products, the approved artwork proof and written specifications form part of the order. If information on the Website conflicts with an approved written quote or artwork proof, the approved quote and proof will apply to the extent of the inconsistency.
We may correct genuine typographical, pricing or technical errors. If an error materially affects an order, we will contact you and provide a reasonable option to confirm the corrected order or receive a refund of amounts paid for the affected item.
3. Prices, GST and payment
Prices are in Australian dollars. Unless clearly stated otherwise, prices shown to consumers include GST where GST applies. Trade, bulk or quote pricing may be shown exclusive of GST where this is clearly identified.
Delivery, optional accessories, artwork services, installation and other additional charges are not included unless stated. Applicable charges will be shown before checkout or included in your written quote.
Payment must be made using an available payment method. An order is not accepted merely because payment details have been submitted. We may conduct reasonable verification checks before accepting an order.
4. Orders and acceptance
After you place an online order, you may receive an automated acknowledgement. This confirms that we received your order; it does not necessarily mean the order has been accepted.
We may decline or cancel an order before production or dispatch where reasonably necessary, including because of unavailable stock, a genuine pricing error, suspected fraud, an inability to produce the requested design, or a legal or safety concern. If we cancel after taking payment, we will refund the amount paid for the cancelled item.
5. Quote requests
A quote request is not a purchase and does not create an obligation for either party to proceed. Quote products may appear at $0 or as “Quote Required” solely to allow the request to be submitted.
A quote becomes binding when you accept it in writing or through an approved online process and pay any required deposit or invoice. Quotes are valid for the period stated in the quote. If no period is stated, the quote is valid for 30 days.
Changes requested after a quote is accepted may affect price, production time and delivery. We will obtain approval before proceeding with a material additional charge.
6. Custom products and artwork approval
Custom products are made to your specifications. You are responsible for checking the artwork proof and confirming that all details are correct, including:

spelling, grammar and contact information;

dimensions, quantities and finishing options;

colours and colour references;
-
orientation, placement and image quality; and
-
any cut lines, bleed, safe areas or other production specifications.
Production normally begins after we receive your approval and any required payment. Production and delivery estimates may change if approval, payment or required information is delayed.
Once production has started, changes or cancellations may not be possible. If we agree to a change or cancellation, you may be responsible for reasonable work and materials already incurred. This does not affect rights or remedies available under the Australian Consumer Law.
7. Colour, size and production tolerances
Screens display colours differently, and printed colours can vary between materials, print methods and production runs. Where colour accuracy is important, you should provide a recognised Pantone (PMS) reference before approving artwork. We will use reasonable care to achieve a close match, but an exact screen-to-print or cross-material match cannot always be guaranteed.
Minor variations in colour, position, size, stitching, finishing and material may occur within reasonable industry tolerances. These tolerances do not limit your rights where goods fail to meet a consumer guarantee.
8. Customer-supplied content and intellectual property
You retain ownership of artwork, logos and other content you supply. You grant us a limited licence to use, reproduce and adapt that content only as reasonably required to prepare proofs, manufacture your order and provide related services.
You confirm that you have the rights and permissions needed for all content you supply and that our authorised use of it will not infringe another person’s intellectual property or other rights. If a third party makes a claim regarding customer-supplied content, you agree to cooperate reasonably in resolving it.
We may refuse content that we reasonably believe is unlawful, infringing, misleading, discriminatory, threatening or otherwise inappropriate.
Unless you give permission, we will not intentionally use your confidential custom artwork for unrelated promotional purposes.
9. Our intellectual property
Unless otherwise stated, the Website and its original text, graphics, layouts, product photography, designs, branding and software are owned by or licensed to Perth Flag Co and are protected by intellectual property laws.
You may view and print Website content for personal use or to place an order. You must not reproduce, modify, distribute, publish or commercially exploit our content without written permission, except as permitted by law.
10. Production and turnaround times
Production and turnaround times are estimates unless we expressly agree to a guaranteed date in writing. An estimate generally begins only after we have received all required information, cleared payment and final artwork approval.
Rush services are subject to availability and may attract an additional fee. We will take reasonable care to meet an agreed timeframe but are not responsible for delay caused by matters outside our reasonable control, subject to applicable law.
11. Delivery and click-and-collect
Delivery is available to the locations offered at checkout or agreed in a quote. Delivery costs and available methods depend on the order, destination and delivery service.
Delivery dates are estimates unless expressly guaranteed in writing. You must provide a complete and accurate delivery address and ensure someone can receive the goods where required. Additional costs caused by an incorrect address, refused delivery or repeated delivery attempt may be charged where reasonable.
You should inspect packages promptly after delivery. If an item arrives damaged, incomplete or incorrect, contact us as soon as reasonably possible with the order number, a description and clear photographs so we can investigate. A request for prompt notice does not remove any rights under the Australian Consumer Law.
For click-and-collect orders, we will notify you when the order is ready. Collection times and identification requirements may apply. Products should not be collected before a ready-for-collection notification is issued.
12. Returns, refunds and consumer guarantees
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Depending on the circumstances, you may be entitled to a repair, replacement, refund, resupply or other remedy if goods or services fail to meet an applicable consumer guarantee.
We do not have to provide a refund or replacement merely because you changed your mind, selected the wrong option, supplied incorrect information or approved artwork containing an error. We may choose to offer a change-of-mind return for eligible non-custom products, subject to any conditions stated in our Returns Policy.
Custom-made or personalised products generally cannot be returned for change of mind because they were produced to your specifications. This does not limit your rights if the product is faulty, unsafe, materially different from the approved proof or description, or otherwise fails to meet a consumer guarantee.
If you believe there is a problem, contact us with your order number, details of the issue and photographs where appropriate. We may ask you to return the product for assessment. Where the product has a major failure, you may be entitled to reject it and choose a refund or replacement in accordance with the Australian Consumer Law. For a non-major failure, we may choose to repair, replace or otherwise remedy the problem within a reasonable time.
Where a return is required for a valid consumer guarantee claim, we will meet reasonable return costs as required by law.
13. Installation and use
You are responsible for selecting products suitable for the intended location and use, following supplied instructions and complying with applicable laws, permits, building requirements and safety obligations.
Unless installation is included in an accepted written quote, installation is not part of the purchase. If third-party installation is required, inspect the goods before installation. We are not responsible for damage caused by incorrect installation, misuse, unauthorised alteration, abnormal conditions or failure to follow instructions, except to the extent we are responsible under applicable law.
14. Accounts and security
If you create an account, you are responsible for keeping login details confidential and for activity conducted through the account. Notify us promptly if you suspect unauthorised access. We may suspend an account where reasonably necessary to protect you, us or other users.
15. Website availability and third-party services
We do not guarantee uninterrupted access to the Website. Maintenance, outages, security events or circumstances beyond our control may affect availability.
The Website may contain links to or use services provided by third parties, including payment, analytics, mapping and delivery providers. Third-party services are governed by their own terms and privacy practices. A link does not necessarily mean we endorse all content on the linked website.
16. Liability
Nothing in these Terms excludes, restricts or modifies a consumer guarantee, right or remedy under the Australian Consumer Law or any other law where doing so would be unlawful.
To the extent permitted by law, we are not liable for indirect or consequential loss that was not reasonably foreseeable, or for loss caused by your incorrect specifications, unlawful content, misuse, unauthorised alteration or failure to follow instructions.
Where goods or services are not ordinarily acquired for personal, domestic or household use or consumption, and it is fair and reasonable to do so, our liability for a failure to comply with an applicable consumer guarantee may be limited in the manner permitted by section 64A of the Australian Consumer Law.
17. Privacy
We handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws. Our Privacy Policy explains what information we collect, how we use and disclose it, how it is protected, and how you may request access or correction or make a privacy complaint.
Payment card details are processed by our payment service providers. We do not intentionally store complete payment card details on our Website servers.
18. Changes to these Terms
We may update these Terms from time to time. The current version will be published on the Website with an updated date. Changes apply prospectively and do not remove rights that arose under an accepted order before the change.
19. Force majeure
Neither party is liable for delay or failure caused by an event beyond its reasonable control, such as natural disaster, fire, flood, epidemic, war, civil disturbance, industrial action, carrier disruption, utility outage or government action. This clause does not excuse payment obligations already due or limit rights that cannot lawfully be excluded.
The affected party must take reasonable steps to minimise the impact. If a delay continues for an extended period and the order can no longer reasonably be completed, either party may discuss cancellation and an appropriate refund or adjustment for unperformed work, subject to applicable law.
20. Severability and waiver
If any part of these Terms is unlawful or unenforceable, it will be read down to the extent necessary or severed, and the remaining provisions will continue to apply.
A failure or delay in exercising a right does not waive that right.
21. Governing law
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. The parties submit to the courts of Western Australia and courts entitled to hear appeals from them. This clause does not prevent a consumer from exercising a right available under applicable consumer protection laws.
